Consider this: A hacker embeds malicious instructions in a document that your company's AI agent reads, overriding your controls and hijacking the agent. As the CISO moves to contain the breach, the CIO investigates which systems were affected and the head of data investigates what data was affected. General counsel needs a record of every decision the agent influenced and the line-of-business owners need to know whether any compromised outputs reached customers.
Responding to an incident requires so many actions from different teams. Ideally, it's organized chaos, like an emergency room. In reality, it's more like Grand Central at the holidays.
That’s because AI governance falls under the jurisdiction of at least six enterprise functions — CIO, CISO, Chief AI Officer, Head of Data, Legal/general counsel, lines of business. Each function has its own controls for its own domain, but nobody’s built a single layer that connects them.
Or rather they have, just not for AI.
SOX, HIPAA, GxP, ISO 27001: these are cross-functional programs that, like AI governance, require those functions to agree on a single shared record. In SOX, that record is the controls matrix. In HIPAA, it's the data processing register. In AI governance, it's a connected record of every model and agent in production, every action they've taken, every owner accountable for them, and every policy they operate under.
But building that record requires something most enterprises don't yet have: the instrumentation layer underneath it.
The controls matrix in SOX was built on top of existing financial data — ledgers, transaction logs, audit trails that already existed in the systems of record. The AI equivalent has no such foundation. Most enterprises don't yet have a registry of every model and agent running in production, a continuous log of every action those agents take, or a graph of which models were trained on which data. Without that instrumentation layer, there's nothing to connect into a shared record.
That's the other half of the work, and it's why even companies that have successfully stood up SOX and HIPAA programs are still struggling with AI governance. The compliance muscle is there. The instrumentation layer isn't.
